How often do the CoastNet Board of Management meet?
Four times per year, roughly quarterly, and at the Annual General Meeting.
What powers do the CoastNet Board of Management have?
CoastNet’s Memorandum and Articles of association is CoastNet;’s Governing Document [hyperlink]. It sets out the rules regarding what CoastNet can do and how it should conduct its business. It is drawn up according to the Charity and Company laws of the UK.
What decisions do the CoastNet Board of Management make?
The Board agree Coastnet’s strategy, which broadly sets out the nature of CoastNet’s daily operations. They agree CoastNet’s business plan and budget annually. They approve CoastNet annual accounts, before submission to the Charity Commission and Companies House in the UK, as required by law. They are supported in these tasks by an operational team of employees, The Secretariat. The Board also approves a Scheme of Delegation, which sets out what operational decisions the Secretariat can make on the Trustees behalf. The Board also adopt a range of policies which govern the operational aspects of CoastNet’s work, to comply with employment law and so on.
What happens at the Annual General Meeting?
At the AGM there are three standard items of business:
An activity report is presented to the assembly, so that people know what CoastNet has been doing.
Members are able to ask questions at any stage, and are asked to vote on resolutions in relation to these matters.
From time to time, members are also asked to elect new Trustees, following an earlier invitation for nominations.
Members, subject to certain rules which are set out in the Memorandum and Articles [hyperlink], can submit resolutions themselves.
